NON-EXCLUSIVE BEAT LICENSE AGREEMENT
This Non-Exclusive Beat License Agreement (the "**Agreement**") is entered into and made effective as of the date of purchase (the "**Effective Date**") by and between **Sound Bwoy Beats** ("**Licensor**") and the purchasing entity/individual ("**Licensee**").
By purchasing, downloading, or using the Beat (as defined below), Licensee agrees to be bound by the terms and conditions of this Agreement.

### 1. Master Recording & Rights Granted
1. **The Beat:** Licensor hereby grants Licensee a non-exclusive, non-transferable, worldwide license to create one (1) new audio recording (the "**Derivative Work**" or "**New Song**") utilizing the audio track purchased by Licensee (the "**Beat**").
2. **Non-Exclusivity:** Licensee acknowledges that Licensor retains full ownership of the Beat and may continue to license, sell, or distribute the same Beat to other third parties without limitation.

### 2. Permitted Uses & Usage Limits
Licensee is granted the following limited rights regarding the Derivative Work:
* **Streaming Platforms:** Up to **500,000** cumulative audio streams across all platforms (e.g., Spotify, Apple Music, Tidal, Amazon Music).
* **Music Videos / Video Content:** Up to **1** non-monetized or monetized music video, with a total cap of **1,000,000** views across platforms (e.g., YouTube, Vimeo, TikTok).
* **Physical Sales:** Up to **2,000** physical copies (CDs, vinyl, cassettes).
* **Live Performances:** Non-profit live performances or paid live performances up to **$2,000 USD** in total gross receipts.
* **Radio Broadcast:** Up to **2** terrestrial or satellite radio stations.

### 3. Ownership & Copyright
1. **Beat Ownership:** Licensor retains 100% of all rights, title, and interest (including all copyrights) in and to the underlying Beat.
2. **Derivative Work:** Licensee owns the copyright in the lyrics and vocals contributed to the New Song, but has no legal ownership of the underlying Beat.
3. **Publishing Split:**
* **Licensor (Sound Bwoy Beats):** Retains **50%** of the Writer's Share and **50%** of the Publisher's Share for the underlying Beat composer composition.
* **Licensee:** Entitled to **50%** of the Writer's Share and **50%** of the Publisher's Share for their original lyric/vocal contribution.

### 4. Credit & Attribution
Licensee agrees to display appropriate credit to Licensor on all physical packaging, digital metadata, streaming service descriptions, and video releases.
* **Credit Format:** `Produced by Sound Bwoy Beats` (or `Beat by Sound Bwoy Beats`).
* For digital releases (e.g., Spotify, Apple Music), Licensor must be credited as a **Producer** in the track metadata.

### 5. Content ID & Copyright Registration
1. **Content ID Systems:** Licensee **SHALL NOT** register or submit the New Song or Beat to any Content ID system (e.g., YouTube Content ID, Meta Rights Manager, SoundExchange fingerprinting, TuneCore/DistroKid Content ID) that matches audio fingerprints.
2. **Copyright Office:** Licensee may not register the underlying Beat with any copyright office as their own creation.

### 6. Payment & Delivery
1. **Payment:** All payments made by Licensee are non-refundable once the Beat files have been downloaded or delivered.
2. **Delivery:** Beat files (e.g., MP3, WAV, or Track Stems, depending on the tier purchased) will be delivered electronically upon receipt of full payment.

### 7. Term & Termination
1. **Term:** This license is effective for a period of **5 years** from the Effective Date, or until the usage limits in Section 2 are reached, whichever occurs first.
2. **Termination:** Licensor reserves the right to terminate this Agreement immediately if Licensee breaches any terms outlined herein. Upon termination, Licensee must cease all distribution and monetization of the Derivative Work.

### 8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of **North Carolina**, without regard to its conflict of laws principles.
